Note 11 – Subsequent Events
Management of the Company evaluated subsequent events and transactions that occurred after the balance sheet date up to the date that the unaudited condensed financial statements were issued. Based upon this review, other than the
below, the Company did not identify any subsequent events that would have required adjustment or disclosure in the financial statements.
On May 5, 2022, pursuant to a promissory note between the Sponsor and the Company signed on May 3, 2022, the Company drew $1,050,000
on the working capital loan with the Sponsor. The working capital loan is non-interest bearing and due on the earlier of the date by which the Company has to complete a Business Combination, and the effective date of a Business Combination.
